Mutual Non-Disclosure Agreement
This Mutual Non-Disclosure Agreement (“Agreement”) is entered into as of the date of signature (“Effective Date”) by and between:

The Parties wish to engage in discussions regarding a potential business or investment relationship (the “Purpose”). In connection with this Purpose, each Party may disclose certain confidential and proprietary information.

Confidentiality obligations survive for 2 years from the date of disclosure.
Nothing in this Agreement obligates either Party to proceed with any transaction or relationship.
No rights, licenses, or ownership interests are granted except as expressly stated.
This Agreement shall be governed by the laws of the State of Connecticut, USA.
This Agreement constitutes the entire understanding between the Parties regarding confidentiality.
